David has been fortunate to have an incredibly broad and diverse professional life. He has served as in-house and special outside counsel to large international corporations, VC funded startups, private equity funds, online gaming companies, REITs, governmental entities and everything in between.
David has focused primarily on securities transactions, registrations, mergers and acquisitions and other complex transactions. He’s represented investment advisors, broker dealers and assisted in numerous registered and exempt offerings. His transaction book is one of the largest in the southwest – with over $10 billion in numerous transactions.
Today, David’s practice is almost exclusively in the financial services sector where he represents both customers and brokers in FINRA arbitrations. David counsels registered representatives in their transition to new employers (primarily independent RIAs or hybrid entities). David also represents brokers and investment advisors in arbitrations against their former employers’ non-competition, non-solicitation, employee defection and recruitment claims.
David also represents entrepreneurs. David has started two companies in New Mexico, raising over $50 million in venture capital funding, leveraged debt and angel financing in the process. He built TriLumina Corp. from concept to an industry leading tech provider in the autonomous vehicle space. He leverages his high-tech startup success to help his clients navigate venture capital funding, employment issues, business development, IP and the myriad of related issues facing startup founders.
